Terms of Service
These Terms of Service (the “Terms”) govern your use of the Shareday service — the website shareday.io, the application app.shareday.io, the public invitation sites hosted on shareday.site subdomains, and related services (together, the “Service”).
By creating an account, making a purchase, or otherwise using the Service, you agree to these Terms. Together with the Privacy Policy and the Refund Policy, they form the entire agreement between you and Shareday (“we”, “us”, “our”).
Definitions
In these Terms:
- “Service” means the website shareday.io, the application app.shareday.io, the public invitation sites hosted on shareday.site subdomains, and Shareday’s related services.
- “User” (also “you”) means a person who has created an account or otherwise uses the Service. The term covers both Consumers and Business Customers.
- “Consumer” means a User who uses the Service for personal purposes unrelated to any business or professional activity.
- “Business Customer” means a User who uses the Service wholly or mainly for professional or commercial purposes.
- “Purchase” means a paid acquisition of a plan, subscription, or additional paid option through the Service.
- “Customer Content” means the materials a User uploads to or creates in the Service (see Section 8).
- “Guest Data” means the personal data of invited guests that a User processes through the Service (see Section 9).
1. Who May Use the Service
To create an account or make a Purchase, a User must be at least 18 years old and have the legal capacity to enter into binding contracts under applicable law.
The Service may be used:
- by a Consumer — to organize their own wedding or another lawful event;
- by a Business Customer — in the course of professional activity, including as an event planner, an agency, or another legal entity or individual using the Service for commercial purposes.
Provisions of these Terms that are expressly addressed to Business Customers apply only to that category of Users. Nothing in these Terms limits Consumer rights guaranteed by mandatory provisions of applicable law.
Anyone using the Service on behalf of a legal entity, a sole proprietor, another organization, or a client represents and warrants that they have full authority to accept these Terms on that party’s behalf and to take the related legally binding actions.
2. The Service
Shareday provides online tools for event preparation: planning, guest list management, invitation sites, guest response collection (RSVP), and related features.
The current list of features, plan contents, prices, and validity periods is shown on the pricing page and at checkout. That information determines what your Purchase includes.
Available features may vary depending on the plan, release stage, device, or browser. Shareday reserves the right to add, improve, and replace features. We will not deliberately remove core paid features of an active event without offering a functionally equivalent alternative or compensation where the law requires it.
Shareday provides software tools and hosting. We do not organize, coordinate, or insure events, and we do not provide professional event-planning services.
3. Account
You must provide accurate account information and keep it up to date.
The User is responsible for keeping their login credentials confidential and for all activity carried out through their account. If you suspect unauthorized access, notify us immediately at support@shareday.io.
Accounts may not be transferred to anyone else. Where the Service supports collaboration (a partner, planner, or team), invite participants through the relevant features of the Service; you are responsible for the access you grant.
The User may close their account in the account settings or by contacting support@shareday.io. Data is deleted in accordance with the Privacy Policy.
Free Use
Before making a Purchase, you can create an event, try out the Service’s features, and preview the result privately. Certain additional options (for example, white label and team collaboration) are available only on paid plans.
A private preview does not make the event site publicly available and does not start a paid period.
Reasonable limits may apply to free accounts. We may delete an inactive free account after giving at least 30 days’ notice to the account email address.
4. Purchases and Payment
The price, payment currency, contents of the relevant plan, quantity, validity period, and other material terms of a Purchase are shown to the User before the order is confirmed. The User must check that this information is correct before paying.
Payment processing is handled by Paddle, which acts as the Merchant of Record and is responsible for processing payments, issuing invoices, calculating and remitting taxes on payment transactions, and handling payment disputes under its own terms of service. Shareday does not receive, process, or store Users’ full payment card details.
Unless expressly stated otherwise at checkout, one-time Purchases do not renew automatically.
Shareday may change prices for future Purchases at any time. Such changes do not apply to Purchases made before they take effect.
5. Subscriptions for Professionals
Plans for event planners operate on a subscription model.
Trial period. New Business Customers receive 14 days of free use. No payment card is required; the trial does not convert into a paid subscription automatically — the subscription starts only once payment is set up.
Renewal. A subscription (monthly or annual) renews automatically for the same period until you cancel it. Before an annual subscription renews, we will send a reminder to the account email address.
Cancellation. You may cancel your subscription at any time in the account settings. Cancellation takes effect at the end of the period already paid for; until then, the Service remains available.
Failed payments. If a scheduled payment is not received, we allow 14 days to update the payment details. After that, access to subscription projects is suspended until the outstanding amount is paid. Data is retained in accordance with Section 6.
Add-ons. Additional paid subscription options (for example, team seats or white label) are billed together with the subscription and cancelled in the same way.
6. End of the Paid Period and Data Retention
Unless stated otherwise at checkout, a one-time plan is valid for 24 months from the date of Purchase.
When the paid period (of a plan or subscription) ends:
- public invitation sites become unavailable;
- the account switches to read-only mode, in which you can view and export your data or renew payment.
Read-only mode is not time-limited and lasts for as long as the account exists. We may delete an account that has remained inactive for an extended period after giving at least 30 days’ notice to the account email address. Details on retention and deletion are set out in the Privacy Policy.
The User is responsible for keeping their own backup copies of important content, guest lists, and exported data.
7. Refunds
Refund rights are governed by the Refund Policy and the law of the country where the Service is registered.
Closing an account, deleting an event, cancelling the event itself, or not using a paid plan does not, by itself, give a right to a refund. Nothing in this section limits mandatory consumer rights.
8. Your Content
“Customer Content” means the text, photos, videos, and other materials you upload to or create in the Service. You retain ownership of it.
You grant Shareday a limited, non-exclusive license to host, store, process, and display Customer Content — solely to the extent needed to operate the Service (previews, page publication, personalization, export, support, security, legal compliance). The license ends when the content is deleted, except for temporary copies in backup storage and cases where the law requires retention.
You confirm that you hold all necessary rights to the Customer Content (including photos, logos, music, and fonts) and that it does not violate the law or the rights of others.
Shareday does not use your events for marketing purposes without your separate permission and does not use Customer Content or Guest Data to train artificial intelligence models.
9. Guest Data and Guest Communications
“Guest Data” means the personal data of invited guests that you enter into or collect through the Service (names, contact details, responses from guest forms, meal preferences, and so on).
You decide what data to collect and how to use it, so you are responsible for:
- having a lawful basis for processing Guest Data and obtaining consent where it is required;
- collecting only the information reasonably necessary for the event;
- responding to guests’ requests about their data;
- sharing personal links and page passwords only with the guests they are intended for.
You must not use Shareday to collect passwords, payment details, identity document numbers, biometric data, or other information that is excessive for organizing an event. Health data, food allergy information, accessibility needs, and other special categories of personal data may be collected only to the extent necessary to organize the relevant event and only where a valid legal basis exists, if the law requires one.
Guest communications. If you use Shareday’s email features, you are responsible for having a valid legal basis for sending the messages, for the accuracy of the email addresses, and for the lawfulness of the message content. Shareday may automatically add unsubscribe mechanisms to messages, honor unsubscribe requests, and restrict or suspend sending where it violates these Terms or applicable law, or puts the security or proper operation of email services at risk.
10. Acceptable Use
The User must not:
- use the Service in a way that violates the law or the rights or legitimate interests of third parties;
- engage in phishing or fraud, impersonate another person, or mislead others;
- create, distribute, or use malicious software;
- attempt to gain unauthorized access to the Service, its information systems, accounts, or other related resources;
- use the Service to send unsolicited messages (spam);
- unlawfully collect, use, disclose, or transfer Guest Data or other personal data;
- circumvent, or attempt to circumvent, the Service’s technical, security, or payment mechanisms;
- engage in automated data collection (scraping), reverse engineering, decompilation, or other actions aimed at obtaining the Service’s source code or internal logic, except where expressly permitted by law;
- give third parties access to the Service on a commercial basis, or resell such access, without Shareday’s prior written consent;
- take any other action that may compromise the security, stability, or proper operation of the Service.
We may investigate suspected violations and remove or block content. For serious violations (phishing, fraud, malicious code, unlawful content, security threats), we may suspend an account immediately. For violations that can be remedied, we will normally send a notice and allow a reasonable time to fix the issue.
11. Shareday’s Intellectual Property
Shareday and its licensors retain all rights to the Service: the software, templates, interfaces, design, and brand. These Terms grant you a limited, revocable, non-exclusive right to use the Service as intended.
You may not copy, distribute, or commercially exploit Shareday’s templates, code, or design materials outside the Service without written permission.
You may send us feedback and suggestions — we may use them to improve the Service without payment or restriction.
12. Availability and Support
We make commercially reasonable efforts to keep the Service available, but we do not guarantee any particular level of uptime (SLA) unless separately agreed in writing. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Backups are made for disaster recovery and are not a guaranteed archive of your files. We do not guarantee recovery of data you have deleted yourself.

13. Suspension and Termination of Access
The User may stop using the Service or close their account at any time, in the manner set out in these Terms.
Shareday may suspend or terminate a User’s access to the Service in the case of a material or repeated breach of these Terms, use of the Service in violation of the law, a threat to the security, confidentiality, or proper operation of the Service, or where a payment is cancelled or charged back, or a payment transaction is confirmed to be fraudulent. Unless doing so would interfere with the security of the Service or with compliance with legal requirements, Shareday will, so far as reasonably possible, notify the User of the suspension or termination in advance.
Suspension or termination of access to the Service does not give a right to a refund of amounts paid, except where expressly provided by law or the Refund Policy.
If Shareday permanently discontinues the Service, it will, so far as practicable, notify Users of that decision in advance and, where technically feasible, give them the opportunity to export their data before the Service shuts down.
14. Warranties and Liability
To the extent permitted by applicable law, the Service is provided “as is” and “as available”. Shareday does not warrant that the Service will operate without interruption, delay, or error, or that it will fully meet the User’s individual needs.
To the extent permitted by applicable law, Shareday is not liable for:
- the actions, omissions, or decisions of guests or other third parties;
- changes to, postponement or cancellation of, or the course of an event;
- errors made by the User when configuring or using the Service;
- the operation, availability, or security of third-party services, software, domains, or other resources outside Shareday’s control;
- disclosure of information caused by the User sharing links, passwords, access codes, or other authentication credentials with third parties.
To the extent permitted by applicable law, Shareday is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of profit, revenue, goodwill, business opportunity, or data, or for any failure to perform, or improper performance of, its obligations caused by circumstances beyond Shareday’s reasonable control.
Unless mandatory provisions of applicable law provide otherwise, Shareday’s aggregate liability to a Business Customer for all claims arising out of these Terms or in connection with the use of the Service will not exceed the total amount actually paid by that Business Customer for the relevant Purchase or subscription during the twelve (12) months preceding the claim.
Nothing in these Terms limits or excludes Shareday’s liability where such limitation or exclusion is expressly prohibited by applicable law — including in cases of fraud, willful misconduct, or death or personal injury — or limits mandatory consumer rights that cannot be restricted by contract.
15. Consumer Rights
A Consumer has all the rights and remedies guaranteed by applicable consumer protection law.
Nothing in these Terms is intended to limit, exclude, or otherwise narrow any rights, guarantees, or remedies that cannot be limited or excluded by law.
If any provision of these Terms is found to conflict with mandatory provisions of applicable consumer protection law, that provision applies only to the extent that it does not conflict with such law, and the Consumer’s rights are determined by applicable law.
16. Changes to These Terms
Shareday may amend these Terms where the Service’s features, applicable legal requirements, or business processes change, or for other legitimate reasons.
The updated version of the Terms is published on the Website together with its effective date.
If material changes are made that may affect Users’ rights or obligations or the terms of an active paid Service, Shareday will, so far as reasonably possible, notify Users of those changes in advance.
Unless applicable law provides otherwise or the User expressly agrees, amendments to these Terms do not apply to rights and obligations that arose in connection with Purchases made before the amendments took effect.
17. Governing Law and Dispute Resolution
Before turning to a court or another competent authority, the parties will seek to resolve any dispute in good faith through negotiation. To do so, the User may contact Shareday at support@shareday.io.
These Terms are governed by and construed in accordance with the law of Ukraine, unless mandatory provisions of applicable law provide otherwise.
Any disputes arising out of these Terms or in connection with the use of the Service are subject to the jurisdiction of the competent courts of Ukraine.
If the User is a Consumer, nothing in this section limits their right to bring proceedings in court or any other rights guaranteed by mandatory provisions of applicable consumer protection law.
18. General Provisions
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, this does not affect the validity, lawfulness, or enforceability of the remaining provisions.
A failure to exercise, or a delay in exercising, any right or remedy provided by these Terms or by law does not constitute a waiver of that right or remedy.
The User may not assign their rights or obligations under these Terms to third parties without Shareday’s prior written consent.
Shareday may assign its rights and obligations under these Terms in connection with a reorganization, merger, sale of the business, or transfer of the relevant assets, subject to the requirements of applicable law.
Payment processing and the Merchant of Record function are subject to Paddle’s separate terms. If a conflict arises concerning the execution of a payment transaction, the relationship is governed by Paddle’s terms to the extent that it concerns payment processing.
