These Terms of Service (“Terms”) govern access to and use of ShareDay, including the ShareDay website, application, website builder, guest-personalization tools, invitation pages, RSVP features, Event Credits, hosting, and related services (collectively, the “Service”).

The Service is provided under the ShareDay brand by the service provider identified in the applicable order, invoice, payment record, or other transaction documentation (“ShareDay,” “we,” “us,” or “our”).

By creating an account, clicking to accept these Terms, purchasing an Event Credit, publishing an event website, or otherwise using the Service, you agree to these Terms.

If you use ShareDay on behalf of an agency, company, client, or other organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and customer types

You must be at least 18 years old and legally capable of entering into a contract to create a ShareDay account or make a Purchase.

ShareDay may be used:

  • personally, for your own wedding, celebration, or other lawful event; or
  • professionally, on behalf of an agency, planner, studio, business, organization, or client.

A “Consumer” is a Customer who uses the Service primarily for personal purposes unrelated to a trade, business, craft, or profession.

A “Business Customer” is a Customer who uses the Service wholly or mainly for professional or commercial purposes.

Provisions expressly addressed to Business Customers apply only to Business Customers. Nothing in these Terms limits any mandatory right available to a Consumer under applicable law.

2. The Service

ShareDay allows Customers to:

  • create and configure event invitation websites;
  • import or enter Guest Data;
  • personalize content based on Guest Data;
  • create conditional sections and RSVP questions;
  • generate personalized Guest links;
  • preview an event website before publication;
  • publish an event website;
  • use a ShareDay-provided address or supported custom domain;
  • collect and manage RSVP responses;
  • review and export Guest Data and responses.

Available functionality may vary depending on the selected product, release stage, account, device, browser, or region.

We may add, improve, replace, or discontinue features. We will not intentionally remove the core paid functionality of an active published event without providing a reasonable alternative or remedy where required by applicable law.

ShareDay provides software and hosting tools. ShareDay does not organize, manage, insure, or provide professional planning services for the underlying wedding or event.

3. Accounts and security

You must provide accurate account information and keep it current.

You are responsible for:

  • protecting your login credentials;
  • choosing a secure password;
  • all activity carried out through your account;
  • promptly notifying us of suspected unauthorized access;
  • ensuring that anyone using your account is authorized to do so.

You may not share or use an account in a way that circumvents security, payment, product, or usage restrictions.

You may close your account through available account controls or by contacting support@shareday.io. Account and data deletion are subject to the Privacy Policy and any legal retention requirements.

4. Free creation and previews

You may create, configure, and preview an event before purchasing an Event Credit.

You may also import Guest Data and configure personalization and RSVP features before purchase.

A private preview:

  • does not make the event website publicly available;
  • does not activate an Event Credit;
  • does not begin the paid hosting period.

Free accounts, drafts, and preview functionality may be subject to reasonable storage, file, usage, or inactivity limits.

We may delete an inactive free account or draft after providing at least 30 days’ prior notice to the account email address, unless immediate removal is required for security, legal, or abuse-prevention reasons.

5. Event Credits

An “Event Credit” allows a Customer to publish one event website with the functionality described on the applicable pricing or checkout page.

5.1 Activation

An Event Credit is activated when the corresponding event website is first published and made available online.

Creating an event, importing Guest Data, configuring content, or viewing a private preview does not activate an Event Credit.

Once an Event Credit has been activated for an event, unpublishing or deleting that event does not restore or return the Event Credit.

5.2 Hosting period

Each activated Event Credit includes 12 months of hosting beginning on the first publication date, unless a different period is clearly stated before purchase.

Unless a hosting extension is purchased, the public event website will become unavailable when the hosting period ends.

After the hosting period expires, we may retain the event privately for up to 12 additional months so that the Customer can restore or extend it. Retention and deletion are governed by the Privacy Policy.

5.3 Unused credits

Unused Event Credits expire 24 months after the date of the relevant Purchase, unless a longer period is stated before purchase or applicable law requires otherwise.

Expiration does not entitle the Customer to a refund, except where required by applicable law.

5.4 Credit packs

Event Credits may be purchased individually or in discounted packs.

Each Event Credit in a pack may be activated for one event.

Event Credits:

  • are not cash or stored value;
  • cannot be redeemed for money;
  • cannot be resold;
  • cannot be transferred to another account or organization without our written approval.

5.5 Allocation of credits

Where a Customer completes multiple Purchases, ShareDay may maintain separate internal records of the Event Credits associated with each Purchase.

Available credits are generally applied from the oldest eligible credit allocation first, taking account of applicable expiration dates.

This internal allocation allows ShareDay to identify whether a particular Purchase has been used for refund, dispute, fraud-prevention, and account-management purposes.

6. Hosting extensions and add-ons

Additional hosting periods or optional functionality may be offered as separate one-time purchases.

A hosting extension is considered applied when the additional hosting period is added to the relevant event.

Unless clearly stated before purchase:

  • Purchases do not renew automatically;
  • a hosting extension applies only to the selected event;
  • unused portions of an applied extension cannot be transferred to another event.

7. Prices and payment

Prices, currencies, included features, product quantities, expiration periods, and material usage limits are displayed before purchase.

Prices may change for future Purchases. A price change does not retroactively alter a completed Purchase.

Paid orders are currently processed by Paddle, which acts as Merchant of Record for the transaction and handles payment processing, invoicing, applicable transaction taxes, and payment-related disputes under its own buyer terms.

ShareDay does not receive or store complete payment-card numbers.

You are responsible for reviewing:

  • the product being purchased;
  • the number of Event Credits;
  • the price and currency;
  • applicable expiration and hosting periods;
  • these Terms;
  • the Refund Policy;

before completing a Purchase.

8. Refunds

Refund eligibility is governed by the ShareDay Refund Policy and applicable law.

ShareDay does not provide voluntary partial refunds for unused Event Credits remaining in a partially used Purchase.

Termination of an account, deletion of an event, unpublishing, cancellation of the underlying wedding or event, or failure to use purchased credits does not automatically create a right to a refund.

Nothing in these Terms limits any mandatory consumer right.

9. Customer Content

“Customer Content” means text, images, photographs, videos, logos, branding, event information, domain settings, personalization rules, templates, and other material uploaded, entered, selected, or configured by a Customer.

You retain ownership of your Customer Content.

You grant ShareDay a worldwide, non-exclusive, limited, royalty-free licence to host, store, reproduce, process, resize, transcode, transmit, and display Customer Content only as reasonably necessary to:

  • provide and secure the Service;
  • create previews;
  • publish invitation pages;
  • provide personalization and RSVP functionality;
  • generate exports;
  • provide support at your request;
  • comply with law;
  • enforce these Terms.

This licence ends when the relevant Customer Content is deleted, except where temporary copies remain in backups or retention is required for security, fraud prevention, disputes, or legal compliance.

You represent that:

  • you own the Customer Content or have all necessary permissions;
  • its use does not violate intellectual-property, privacy, publicity, contractual, or other rights;
  • you have permission to use any photographs, logos, video, music, fonts, and other licensed material;
  • you will not upload unlawful, misleading, harmful, or infringing content.

ShareDay will not use your published event in marketing materials or a public portfolio without separate permission.

ShareDay does not use Customer Content or Guest Data to train artificial-intelligence models.

10. Guest Data

“Guest Data” means personal data relating to invited guests that a Customer uploads, enters, receives, or otherwise processes through the Service.

Guest Data may include:

  • names and contact information;
  • guest groups and invitation status;
  • personalized Guest links;
  • RSVP status and responses;
  • plus-one information;
  • meal preferences;
  • allergies and accessibility requirements;
  • transport, travel, arrival, departure, or accommodation information;
  • answers to custom RSVP questions;
  • other Customer-created fields.

The Customer decides:

  • which Guests to include;
  • which Guest Data to upload or collect;
  • which content each Guest can see;
  • which RSVP questions to ask;
  • how Guest responses will be used.

The Customer is responsible for:

  • having a lawful basis to process Guest Data;
  • providing Guests with any required privacy notice;
  • obtaining consent where required;
  • limiting collection to information reasonably necessary for the event;
  • responding to Guest privacy requests;
  • configuring personalization and access rules correctly;
  • ensuring that recipients of personalized links are authorized to receive them.

You must not use ShareDay to collect:

  • passwords or authentication credentials;
  • full payment-card or bank-account details;
  • government identification numbers or passport copies;
  • biometric information;
  • full medical records;
  • criminal-offence information;
  • information that is excessive or unrelated to legitimate event-management purposes.

Information concerning allergies, accessibility, religion-related dietary requirements, or health may be sensitive under applicable law. You may collect such information only where it is necessary, proportionate, and lawful.

When ShareDay processes Guest Data solely to provide the Service on the Customer’s instructions, ShareDay will:

  • process the data only as necessary to provide, secure, maintain, and support the Service;
  • limit access to authorized persons subject to confidentiality obligations;
  • use reasonable technical and organizational security measures;
  • use service providers only where reasonably necessary to operate the Service;
  • provide reasonable assistance with privacy requests and security incidents;
  • delete or return Guest Data in accordance with the Service functionality, Privacy Policy, and applicable law.

11. Personalized Guest links and passwords

Personalized Guest links and page passwords may function as confidential access credentials.

Anyone who obtains a valid link or password may be able to view the content configured for that Guest or guest group.

You are responsible for:

  • distributing Guest links through appropriate channels;
  • avoiding public publication of private links;
  • sending each Guest the correct link;
  • managing page passwords;
  • revoking or replacing compromised access where supported;
  • configuring which content is visible to each Guest.

ShareDay is not responsible for unauthorized access caused by a Customer or Guest forwarding, publishing, misdirecting, or insecurely storing a Guest link or password.

12. Custom domains and third-party services

You may connect a domain that you own or are authorized to use.

Unless the domain is expressly purchased or managed through ShareDay, you are responsible for:

  • registering and renewing it;
  • paying registrar and registry fees;
  • maintaining ownership or authorization;
  • configuring DNS records;
  • complying with registrar and registry rules.

We will provide reasonable instructions for supported custom-domain configuration.

We do not guarantee successful activation where the problem is caused by DNS records, registrar restrictions, expired registration, ownership disputes, third-party systems, or configuration outside ShareDay’s control.

Invitation pages may contain third-party maps, videos, music, social-media content, or other external services. Those services are governed by their own terms and privacy notices.

13. Acceptable use

You must not use the Service to:

  • violate any law or third-party right;
  • engage in phishing, fraud, impersonation, or deceptive activity;
  • distribute malware or malicious code;
  • gain unauthorized access to systems or accounts;
  • send spam or facilitate unsolicited communications;
  • publish illegal, exploitative, or unlawfully harmful content;
  • infringe intellectual-property, privacy, publicity, or confidentiality rights;
  • collect, disclose, sell, or misuse Guest Data unlawfully;
  • expose another person’s personal data in a harmful or unauthorized manner;
  • bypass technical, security, account, or payment restrictions;
  • scrape, reverse engineer, decompile, or extract source code except where applicable law expressly permits it;
  • resell accounts or Event Credits without written approval;
  • interfere with the Service or create unreasonable system load;
  • use ShareDay in connection with unlawful activity.

We may investigate suspected violations and remove or disable content.

We may immediately suspend an account or page where reasonably necessary to address:

  • phishing;
  • malware;
  • fraud;
  • unlawful content;
  • a security incident;
  • an imminent threat;
  • a credible legal complaint.

For other remediable violations, we will ordinarily provide notice and a reasonable opportunity to correct the issue unless delay would create material risk or legal exposure.

14. ShareDay intellectual property

ShareDay and its licensors retain all rights in the Service, including:

  • software and source code;
  • website builder and editor;
  • templates;
  • interfaces;
  • design systems;
  • documentation;
  • trademarks and branding.

These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.

You may not copy, extract, distribute, license, sell, or commercially exploit ShareDay templates, code, interfaces, or design assets outside the Service without written permission.

You may provide feedback voluntarily. We may use that feedback to improve the Service without payment or restriction, provided we do not publicly identify you without permission.

15. Availability, maintenance, and support

We use commercially reasonable efforts to keep the Service available.

Unless separately agreed in writing, we do not provide a guaranteed uptime or service-level agreement.

The Service may be unavailable because of:

  • maintenance;
  • updates;
  • security work;
  • internet or infrastructure failures;
  • third-party provider failures;
  • force majeure;
  • circumstances outside our reasonable control.

Support is available at support@shareday.io.

Backups are maintained for operational continuity and disaster recovery. They are not a guaranteed archive for individual Customer files. You should maintain independent copies of important content, Guest lists, and exports.

We do not guarantee recovery of data intentionally deleted by a Customer.

16. Suspension and termination

You may stop using the Service or close your account at any time.

We may suspend or terminate access where:

  • you materially or repeatedly breach these Terms;
  • you use the Service unlawfully;
  • your use creates a material security or privacy risk;
  • a payment is reversed, charged back, or determined to be fraudulent;
  • continued provision would violate law;
  • continued provision would expose ShareDay, Guests, Customers, or third parties to material harm;
  • an inactive free account is removed after the notice described in Section 4.

Where reasonably possible, we will provide notice before suspending or terminating a paid Service, unless immediate action is necessary for legal, fraud-prevention, security, or abuse reasons.

Termination does not automatically entitle you to a refund.

If ShareDay permanently discontinues the Service, we will aim to provide reasonable advance notice where possible and, where technically available, an opportunity to export Customer Data.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

We do not warrant that the Service will:

  • be uninterrupted or error-free;
  • be completely secure;
  • support every device, browser, domain registrar, or third-party integration;
  • meet every Customer’s specific requirements;
  • guarantee Guest attendance, response rates, or event outcomes.

ShareDay is not responsible for:

  • the accuracy of Customer Content or Guest Data;
  • Guest actions, responses, or failure to respond;
  • Customer configuration errors;
  • incorrect personalization rules;
  • unauthorized disclosure caused by forwarding or publishing a Guest link;
  • third-party services, embeds, registrars, communication tools, or internet providers;
  • DNS or domain configuration outside ShareDay’s control;
  • cancellation, postponement, rescheduling, or outcome of the underlying event;
  • loss that could reasonably have been avoided by maintaining independent backups.

Nothing in these Terms excludes a warranty, remedy, or right that cannot lawfully be excluded.

18. Limitation of liability

Nothing in these Terms limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

To the maximum extent permitted by law:

  • ShareDay is not liable for indirect, incidental, special, punitive, or consequential loss;
  • ShareDay is not liable for loss of profit, revenue, goodwill, business opportunity, anticipated savings, or data;
  • ShareDay is not liable for delay or failure caused by circumstances outside its reasonable control.

For a Business Customer, ShareDay’s total aggregate liability arising from or relating to the Service will not exceed the amount paid by that Business Customer for the Purchase directly giving rise to the claim during the 12 months before the event giving rise to liability.

For a Consumer, liability is limited only to the extent permitted by applicable consumer law.

19. Business Customer indemnity

If you are a Business Customer, you will indemnify ShareDay against third-party claims, losses, damages, and reasonable costs arising from:

  • unlawful Customer Content;
  • your violation of Guest privacy or data-protection rights;
  • your lack of required permissions;
  • your misuse of personalized Guest links;
  • your material breach of Sections 9, 10, 11, or 13.

This obligation does not apply to the extent the claim was caused by ShareDay’s own breach, negligence, or unlawful conduct.

20. Consumer rights

Consumers may have mandatory rights under the laws of their country or region.

Nothing in these Terms:

  • excludes mandatory consumer protections;
  • prevents a Consumer from using a mandatory remedy;
  • removes a mandatory right to withdraw, cancel, obtain correction, receive a price reduction, terminate a contract, or receive a refund;
  • prevents a Consumer from bringing a claim in a forum that applicable law requires to remain available.

Where a provision of these Terms conflicts with a mandatory consumer right, the mandatory right applies.

21. Complaints and disputes

Please contact legal@shareday.io or support@shareday.io before beginning formal proceedings. We will attempt in good faith to resolve the matter informally.

These Terms and the relationship between you and ShareDay are governed by the laws of Ukraine, without regard to conflict-of-laws principles.

Subject to mandatory consumer law, disputes will be submitted to the competent courts of Ukraine.

If you are a Consumer, this section does not deprive you of any mandatory protection or right to bring proceedings elsewhere where your local law provides that right.

22. Changes to these Terms

We may update these Terms to reflect changes in:

  • the Service;
  • law or regulation;
  • security requirements;
  • product structures;
  • business operations.

The updated Terms will be posted with a new effective date.

Where a material change affects an active paid Service, we will provide reasonable notice where required by law.

Changes do not retroactively alter a completed Purchase unless:

  • applicable law requires it;
  • the change benefits the Customer; or
  • the Customer expressly agrees.

23. General provisions

If any provision is found unenforceable, the remaining provisions remain effective.

A delay in enforcing a right is not a waiver of that right.

You may not assign these Terms without our prior written consent, except where applicable law permits otherwise.

We may assign these Terms in connection with a reorganization, financing, merger, acquisition, or sale of the business, subject to applicable law.

These Terms, the Privacy Policy, and the Refund Policy constitute the agreement between you and ShareDay regarding the Service.

The terms of the payment provider used for a Purchase apply separately to the payment transaction.
